It's the MGB GT prototype by Pininfarina, pictured in the Pininfarina studios in spring 1964.

No, this is the prototype MGB GT, pictured in the Pininfarina studios in spring 1964.  Note that the prototype has frameless rear quarter windows and no badge on the tailgate.

The Healey variant, pictured below, was nixed by Mr Healey himself. Other than a different grille and a hood bulge to cover the larger AH engine, this was badge engineering in its purest form.
